Terms of Use & End User License Agreement

1. Acceptance of Terms

YouSendME is an independent tool and is not affiliated with, endorsed by, or partnered with WhatsApp Inc. or Meta Platforms Inc.

2. License Grant

We grant a limited, non-exclusive, non-transferable, revocable license to use the Add-on for lawful personal or business messaging under these Terms.

• Sublicense, resale, white-label, distribution, or commercial exploitation without explicit written authorization is prohibited.
• Reverse engineering, decompiling, or attempts to access source code are prohibited.
• Unauthorized modification or derivative works are prohibited.

3. Plan, Pricing, and Entitlements

Commercial details (plans, pricing, trial limits, BYO credit, support tiers, and billing behavior) are defined in the Pricing & Entitlements Addendum.

• The Addendum is incorporated into these Terms.
• In case of conflict, these Terms govern legal interpretation and the Addendum governs current commercial configuration.
• We may update the Addendum from time to time.

4. Prohibited Conduct

• Spam or unsolicited messaging.
• Harassment, fraud, phishing, impersonation, or illegal activity.
• Violation of WhatsApp terms, security controls, or anti-spam safeguards.
• Collecting or sharing personal data without lawful basis and consent.

5. WhatsApp Account Risk and Responsibility

You are solely responsible for your WhatsApp account(s), connected number(s), consent collection, and messaging practices.

You acknowledge that WhatsApp may suspend or ban accounts at its sole discretion. We are not liable for WhatsApp enforcement actions, loss of account access, delivery issues, or business interruption resulting from third-party platform actions.

6. Safety Enforcement Rights

To protect compliance and deliverability, we may enforce anti-abuse controls including throttling, temporary restrictions, or suspension, even where a plan otherwise permits sending.

7. Third-Party Services

The Add-on relies on third-party platforms (including WhatsApp, Google Sheets, and optional providers such as GreenAPI). We are not responsible for third-party outages, policy changes, billing, or service quality.

8. Billing, Cancellation, and Refunds

Billing, cancellation behavior, and refund policy are described in the Pricing & Entitlements Addendum.

Unless otherwise stated in a specific written offer, refunds are handled case-by-case at our discretion.

9. Disclaimer of Warranties

THE ADD-ON IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES.

OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless YouSendME and its creators from claims, damages, losses, and expenses arising from your misuse, unlawful activity, policy violations, or breach of these Terms.

12. Suspension and Termination

We may suspend or terminate access immediately if we detect abuse, spam, legal risk, security threats, or violation of these Terms.

Upon termination, all license rights granted under these Terms end immediately.

13. Changes to Terms

We may update these Terms and the Addendum. Continued use after updates constitutes acceptance of the updated terms.

14. Governing Law

These Terms are governed by the laws of Israel. You agree to the exclusive jurisdiction of the courts in Israel, subject to applicable mandatory local consumer law.
